Перестройка российской экономики в начале 1990-х гг. вызвала объективные процессы преобразования существовавших ранее форм собственности и поиск адекватных сложившимся новым рыночным отношениям форм корпоративного управления. Финансовый кризис в августе 1998 г. и глобальный финансовый кризис 2009 г. внесли свои существенные коррективы в оптимизацию выстраиваемой в стране системы корпоративного управления. Характерной чертой сложившейся в нашей стране системы корпоративного управления можно назвать совмещение в одном лице собственника и менеджера, а также широкое использование механизмов селф-дилинга.
